略论独立董事作用发挥的条件

The Functioning Conditions for Independent Directors

董事会建设是公司结构治理的核心。由于其独立性常常得不到保证 ,董事会易成为一个由内部人控制的组织。针对这一缺陷 ,从国内外对独立董事发挥作用的边界的界定入手 ,结合国内外对于独立董事制度的研究及国内外实践情况的分析 ,讨论了独立董事的产生机制 ,分析了独立董事发挥作用的内外部条件及对独立董事的约束机制 ,从而进一步认识到推行独立董事制度的意义。

For a company, the construction of its directorate plays a central role in its structural construction. However, the directorate is prone to be manipulated by somebody inside the company owing to its lack of independence. In this respect, the functioning conditions for independent directors both at home and abroad were studied with a brief introduction of the research status quo of independent directors and an analysis to the actual practice of this system. Besides, the electing mechanism of independent directors and the restraining mechanism were discussed, and then the significance of the introduction of independent director system was understood.
