In view of the fact that the justice and existential value of modern companies' limited liability has been under serious challenges from practical economic life, an introduction is made of the concept,function and significance of corporate limited liability system,and its negative effects and causes are also analyzed. A discussion is made of the legal principle of 'negation of personality'. The strategies are proposed for perfecting corporate limited liability system by both legislative and judicial means.
