论商事登记制度的若干法律问题——兼论我国商事登记的改革与完善

商事登记是商事主体设立、变更和终止的基本法律事实。商事登记是反映商事主体信用基础和信用状况的法律形式。商事登记在性质上具有私法兼公法的二重性。我国企业的设立应由许可主义向准则主义转变 ,才能简化登记程序 ,适应市场经济的需要。商事登记不同于营业许可。我国立法必须抛弃越权原则 ,经营范围的登记不再具有限制企业权利能力的效力。

Business registration refers to the facts of the incorporation,change and termination of business bodies,which reflects their credit base and condition.Its nature is both private and public.The incorporation of our enterprises should transform from licence to approval to simplify the procedure,meeting the need of market economy.Business registration is alse different from business charter.The legislation must give up the ultra-vires principle.The registration of business sphere is not the limits of enterprises' capacity of civil rights.
