试论我国公司资本制度的完善

On the Perfect of Capital System in Our Companies

公司资本制度是公司制度的基石,它不但是公司存在的前提,也是保护公司债权人利益的基础。我国《公司法》也规定了相应制度,但随着公司制度的发展,它们已不能适应新的要求。借鉴国外有关规定,修改我国《公司法》中公司资本制度,保护广大债权人利益已是我国经济发展的必然要求。

A company's capital system is the base of any company corporation, it isn't only the premise but also the base for protection of company creditor' s interest. In our country, we have made corresponding system. With the development of the corporation system, they couldn' t adapt to the new changes any more.So it is necessary for the Chinese economy to borrow foreign regulations and anmend corporation capital system in company law and protect the creditor's interests.
