摘要
在中国随着国企改革的深入和市场经济的完善,经营者人才市场的日益形成,经营者薪酬制度作为现代公司治理机制中的重要内容而为人们所关注。企业管理人员的激励与约束问题也日益突出出来。经营者股票期权激励(ESO)作为目前发展迅速又日渐普及的一种激励机制,是值得我们研究和重视的。
In China, along with the deepening of SOEs′ reforms and the perfecting of market economy, the manager market has been formed. The salary system of the managers is an important part of the modern corporate governance which has been highlighted. The problems concerning the motivation and restraint of the managers have become more and more critical. Entrepreneurs′ stock option system is a prevailing motivation mechanism which should be studied and paid attention to.
