公司法律适用规则初探

Analysis on the Law Applicable to Corporation

本文参考国际上诸多立法例,以设立地、主要办事机构所在地和行为地等连结点为主线,初步构建了公司法律适用规则。本文认为支配公司法律事项的主要法律仍是其属人法(包括设立地法和主要办事机构所在地法),而行为地法和保护第三人的法律只对特殊事项适用。文中还提出公司法律适用条款在立法体例上可归入商事编,在内容上侧重于规定公司的主体地位和内部关系。第条 [公司]本条所指的公司是指依法成立的以营利为目的的法人。公司的所在地依公司章程或合同的规定确定,章程或合同没有做出规定的,可以将公司的主要办事机构所在地视为公司的所在地。除法律另有规定外,公司的法律事项依其成立的国家的法律或主要办事机构所在地国的法律。公司的法律事项主要包括:(一)公司的设立、解散和撤销;(二)公司的权利能力和行为能力;(三)公司的名称和字号;(四)公司的组织机构;(五)公司的内部关系;(六)公司债务。公司的行为能力,除适用其成立地或者主要办事机构所在地法外,还需符合行为地法。公司与第三者进行的法律活动可以适用第三者的住所地或习惯居所地法律。分公司或子公司的活动适用分公司或子公司所在地法律。在非常情况下,就特定问题当另一国与事件及当事人有更重要的联系时,依该另一国的法律。

This article preliminarily constructed the applicable rule for corporation on the main thread of connecting factors such as the place of incorporation,the place of prin- cipal business establishment and the place of act.The author concludes the main rule which governs the law issues of corporation is still lex personalis(including lex incorpora- tionis and the law of the place of principal business establishment).Lex loci actus and the law protecting benefits of the third party are only applicable to special issues.Further- more,this article brings forward that the applicable rule for corporation should belong to the commercial part in legislation mode and may emphasis the subject status and the inter- nal relationship of the corporation on content.
