摘要
研究了企业并购行为对企业生产负面影响的原因 ,从非对称信息理论出发 ,考察了并购方在并购过程中所应获得的信息 ,得出了企业并购行为是否成功的必要条件 ,同时对有效获得有用信息的途径和方法作了归纳。
In this paper, We use the asymmetrical information theory to analyse the reasons of enterprise's failure annex, and get a basic principle that the condition of successful enterprise annex is that the quantity of information the annexing enterprise obtained must be greater than the threshold quantity of information. We also discuss some methods about how to get the useful information.
