摘要
随着经济全球化和市场竞争的加剧,并购浪潮风起云涌。近年来,全球的并购浪潮正经历着史无前例的增长。并购扩大了生产规模,带来了市场份额的扩大,生产成本的降低,为企业提供了更大的利润。大小企业的并购对竞争性的商业发展是至关重要的。然而,由于企业文化的差异而使并购失败的现象却不容忽视。企业文化因素是并购能否成功的一个关键性因素,本文拟对文化差异而使企业并购失败的案例进行分析,指出文化整合的重要性。并对文化整合失败的原因进行分析,对如何解决这一问题给予相应的对策。
With the aggravation of economic globalization and market competition, M&A tides and surge forward. In recent years, the global M&A tide is going through unprecedented growth. M&A has expanded the production scale, has brought the enlargement of market share, the reducing of the production cost, has offered larger profit for enterprise. The M&A of the big small enterprise is essential to competitive commercial development. However, It can't be ignored to M&A the phenomenon failing to make because of difference of corporate cultures. The corporate culture factor is the key factor to M&A that could be successful, this text plans to analyze the case that enterprises M&A failing because of the cultural difference, point out the importance that culture combines. And analyze the cause, offer the corresponding countermeasure to how to solve this problem to the reason why culture is combined and failed.
