Cybersecurity and Data Compliance of Outbound M&A for Chinese Enterprises in the Context of “One Belt One Road” Initiative

随着我国"一带一路"倡议的推进,中国企业境外并购日益频繁。文章介绍了境外政府机构审查中国企业境外并购中,重点关心的我国网络安全和数据合规问题,梳理了当前《网络安全法》的体系下我国政府可能获取外国公民个人信息或重要数据的情形,同时分析了《网络安全法》的实施对于实现中国企业境外并购目的、交易后企业运营成本的影响。最后,文章从网络安全合规和实现交易目的的角度,分析并提出了中国企业境外并购中的实践建议。

Along with the development of"One Belt One Road"initiative,outbound M&A activitiesby Chinese enterprises have become increasingly frequent.This article summarizes key concerns ofthe foreign governments from the perspective of cybersecurity and data compliance in their reviewprocess of these M&A transactions.It also provides scenarios where Chinese government mayget access to personal information or important data of foreign nationals in the context of China’sCybersecurity Law.Meanwhile,the article also analyzes the impact of the Cybersecurity Law on therealization of the transactional purpose of Chinese enterprises’outbound M&A activities,and thepost-transaction operational costs incurred on the Chinese enterprises.Finally,the article providessome practical advice for Chinese enterprises on how to strike a balance between cybersecuritycompliance and the transactional purpose in the outbound M&A activities.
