随着新浪等一批企业以VIE(Variable Interest Entity)模式赴海外上市以来,VIE模式已经成为中国企业海外上市融资一种重要方式。VIE模式是一种公司制度与金融制度的创新,采用该模式的企业的知识产权问题也不可避免的成为需要关注的问题。本文首先解读VIE模式企业对于知识产权的价值诉求和合规限制,从而就VIE模式企业知识产权资产安排、风险防范、财务报表合并、费用转移支付等方面进行探讨,并提出VIE模式企业知识产权策略应对建议。

With the emergence of Sina and other enterprises using VIE(Variable Interest Entity)model on overseas listing,VIE model has become an important approach for Chinese enterprises on overseas listing financing.VIE model is a corporate system and financial system innovation,intellectual property issues for enterprises which apply VIE model are inevitably needed to pay more attention.This paper first discusses the value of intellectual property rights and compliance restrictions of VIE model enterprises,so as to discuss the VIE model enterprise intellectual property asset arrangement,risk prevention,financial statement merger,cost transfer payment and etc;meanwhile put forward VIE model enterprise intellectual property strategy preventive solution.
