为国家对资本主义工业企业进行社会主义改造的需要,政务院制定《公私合营工业企业暂行条例》。《公私合营工业企业暂行条例》包括总则、股份、经营管理、盈余分配、董事会和股东会议、领导关系、附则等。就其内容而言,它初具公司法雏形,在某种意义上可以说是新中国现代企业制度的肇始。

In order to meet the needs of the state for the socialist transformation of capitalist industrial enterprises,the State Council formulated the Provisional Regulations on Public-Private Joint Ventures.The Provisional Regulations on Public-Private Joint Ventures include general rules,shares,operation and management,surplus distribution,board meetings and shareholders'meetings,leadership relations,and attachments.In terms of its content,it began to take the form of corporate law,which in a sense can be said that the new China's modern enterprise system began.
