摘要
出借人与借款人签订商品房买卖合同作为实现借贷合同中出借人债权的担保被称为"买卖型担保"。它是国家经济的迅猛发展、资本市场和民间融资需求不断增长的结果。司法实务中,最高人民法院指导案例第72号为各级法院审理此类案件提供了指导,避免了同案不同判的情形。但在学界上,对其法律效力仍然存在争议。对买卖型担保的法律效力等重要问题进行分析、论证,并提出相关处理建议。
Lenders and borrowers to commercial housing sale contract as the guarantee to implement folk lending lenders in the contract creditors rights,this type of guarantee is referred to“business model guarantees”.It is the rapid development of national economy,capital market,and the result of the folk financing needs of the growing.In the judicial practice,the supreme people’s court to guide case No.72provides guidance for all levels of court cases,avoid different connection with the given situation.But in academic circles,its legal effect is still controversial.Therefore,this article expectations by buying and selling of type guarantee legal effect of the important problems,such as analysis,reasoning,put forward related suggestions.
