摘要
我国劳动法律法规有关于对离职劳动者竞业限制的规定,公司法中规定了董事的竞业禁止义务。竞业限制与竞业禁止的用法之争毫无意义,竞业限制与反不正当竞争更是不能混为一谈。实际上,竞业限制(禁止)制度在劳动法和公司法上具体规定的相异源于其立法思路和保护价值的不同:劳动法强调对弱势劳动者的倾斜保护;而公司法注重对公司及股东利益最大限度的保护。正确厘清两者关系,有助于在实践中正确适用法律规范,有效平衡各方利益,保障市场经济有序的竞争,从而实现公司法与劳动法的不同价值目标。
There are provisions on the competitive restrictions to the employees who leave the company in China’s labor laws and regulations,The Company Law stipulates the non-competition obligations of the directors,There is no point in the battle between the competitive restrictions and non-competition,It is impossible to confuse competitive restrictions with anti-unfair competition,In fact,the system of competitive restrictions(prohibition)differs in Labor Law and Company Law from its legislative idea and protection value:Labor Law emphasizes the protection of disadvantaged workers and Company Law pays attention to the maximum protection of the company and shareholders’interests,Correctly clarifying the relationship between the two will help to correctly apply the legal norms in practice,effectively balance the interests of all parties and guarantee the orderly competition in the market economy so as to realize the different value targets of Company Law and Labor Law,
