摘要
进入新世纪,我国公司治理与国有企业改革开启新的篇章。国有企业改革正式从传统企业制度框架内的"治标"转向现代企业制度框架内的"治本",历经了一个曲折但又稳步推进的过程。其间,有关国有企业如何规范公司治理问题,国有资产管理体制改革问题,管理层收购是否导致国有资产流失问题,股权分置及其如何改革问题,次贷危机引发的"国进民退"问题,垄断性国有企业如何改革问题,以及混合所有制改革试验问题,在理论界引起了激烈的讨论,并对国有企业改革实践产生了重要影响。
Entering the new century,China's corporate governance and SOE's reformopen a new chapter.SOE's reformchanged formally from“palliative”within traditional framework to“root-cause”within modern frameworkhas gone through a winding but steadily advancing process.In the meantime,the questions about how to regulate corjDorate governance,the reform of state-owned as-sets management system,whetlier MBO leads to the loss of state-owned assets,the split of share and reform,“national advance peo-ple retreat”,caused by subprime mortgage crisis,the reform of SOEs in monopoly and the reform of mix-ownershiip have caused heat-ed discussion in academia,which has a significant impact on the reform practice of SOEs.
