代理权滥用的情形与效力探讨

代理权滥用包括自己代理、双方代理、代理人一方损害被代理人利益、代理人与第三人恶意串通损害被代理人利益的情形。其中,自己代理与双方代理中存在不宜被认定为代理权滥用的例外情形。此外,自己代理、双方代理与代理人单方损害被代理人利益、双方代理与代理人第三人恶意串通损害被代理人利益分别有竞合关系。滥用代理权的法律效果应当区分是否涉及第三人以及第三人的主观状态等不同的情形分别对待。

The abuse of authority of agents is that an agent acting with authority violates the duties of diligence,violates the principle of good faith,and causes damage to the principle.Through the untangling and analysis of theory judicial practice and the extraterritorial legislation,this paper demonstrates the abuse of authority of agents including that an agent concludes the contract with itself,an agent acts for two principals,an agent causes damage to the principle unilaterally and an agent and a third party conducting malicious collusion to damage the interests of the principal,among them,there are exceptions not suitable to be decided as abuse.In addition,concurrences among the preceding circumstances exist.When regulating the abuse of authority of agents,in terms of the legal effects,distinctions should be made between whether the third party is involved and between the bona fide third party and malicious third party.
