企业社会责任的反身法路向

Corporate Social Responsibility Revisited from a New Perspective of Reflexive Law

关于落实企业社会责任的路径争论与实践,仍未脱离国家监管与放任制度之间的二元选择或平衡,忽视了社会高度分化的现实以及各社会子系统的相对独立性与独特运行逻辑。实践中各类规制路径陷入了约束力不足、实体法泛滥和监管滞后等困境。对此,法社会学上的反身法理论承认法律在认知和社会整合方面的局限性,强调充分发挥各子系统的自主性,这为突破当前规制困境提供了新的路向。立足于反身法框架下的规制路径调整,综合运用组织、商谈、授权等策略,从建立企业内部社会责任管理体系、审计和披露社会责任报告、私人治理与多中心化规制等方面入手,促使企业基于自我反思结构寻求和内化来自于其他社会子系统的外部影响,追求高于法律要求的社会责任表现;同时妥善利用系统外部力量,发挥法律等其他子系统在程序、规范方面的约束与引导作用,以实现"受约束的自我规制",弥补传统模式之亏空。

Having ignored the highly differentiated society and the relative independence and unique operating logic of the subsystems,current disputes and practices related to the implementation of corporate social responsibility fail to break away from the dual choice or balance between state supervision or laissez-faire systems.The paths have plunged into the regulatory predicament,facing with problems such as insufficient binding force,overflowing of substantive law and regulatory lag.Reflexive Law recognizes the limitations of the law as a social subsystem in terms of cognition and social integration.It emphasizes the autonomy of various subsystems and focuses on creating“constrained self-regulation”,which provides a possible direction for breaking through the current regulatory dilemma.According to the theory of Reflexive Law,specific regulatory strategies will be put forward such as building organizations,promoting negotiation and private governance,and measures will be taken like establishing internal social responsibility management system,auditing and disclosing social responsibility report to urge enterprises to seek and internalize the influence from other external social subsystems.Meanwhile,the normative binding and procedural constraints provided by other external systems like the law system will also be utilize.Consequently,the inadequacies of traditional paths can be compensated for and corporate social responsibility will be implemented more effectively.
