On the Legal Effect of Automatic Information Systems in E-Commerce Contracts

《电子商务法》首次明确规定了电子商务合同自动信息系统的法律效力,由此涉及自动信息系统有关各方的权利、义务与法律责任问题。自动信息系统自动性与互动性的特征,对电子商务合同的订立与履行、责任与风险的分配与分担均产生影响,需要新的法律规范以补充或者更新旧有规范。《电子商务法》关于自动信息系统的法律规范,虽然数量不多,但是对于我国方兴未艾的区块链、智能合同等技术的发展应用提供了极为重要的法律支持,奠定了我国数字经济环境下新型交易法的基础,对我国合同法、乃至整个民商法体系的发展均有重大的意义。

The E-Commerce Law definitely prescribes the legal effect of automatic information systems of e-commerce contracts for the first time,which refers to the problems about the parties involved in automatic information systems and their respective legal duties and responsibilities.The automated and interactive characteristics of automatic information systems of e-commerce contracts impact contract conclusion and performance and the distribution and sharing of the rights,obligations,responsibilities and risks among the parties,which will inevitably stimulate the creation of new legal norms to supplement or renew the existing ones.The legal norms of automatic information systems in the E-Commerce Law,albeit in small number,have provided solid legal supports for the booming application of emerging technologies,such as blockchain and smart contract technologies,laid the foundation for new transactional laws in the digital economy and contributed significantly to the development of the Contract Law and even the whole legal system of civil and commercial law.
