间接代理引入制度比较研究

Comparative Study on Introducing System of Indirect Agency

由于大陆法系和英美法系在法律设计中逻辑思考方式等方面的不同,对于代理制度,尤其是间接代理的法律设计存在着根本上的差异。从两种法系的区别处进行比较研究,回归中国市场实际运用这一现实的土壤,在我国存在的相关民商法案例的实际运用中讨论,除了中国民法体系的习惯外,《合同法》还应明确规定直接代理制度,并应运用英美法系的实践经验,以应用于商事领域。

Because of the difference of logical thinking mode in legal design between civil law system and Anglo-American law system,there are fundamental differences in the legal design of agency system,especially indirect agency.This paper makes a comparative study from the differences between the two legal systems,returns to the actual use of this realistic soil in the Chinese market,and discusses in the practical application of the relevant civil and commercial law cases existing in our country.In addition to the custom of the Chinese civil law system,the contract law should also clearly define the direct agency system and should apply the practical experience in commercial fields.
