摘要
伴随售后回租的试运行,版权作为售后回租物逐渐成为融资租赁领域的新宠。由于立法与实践的脱节,版权能否作为售后回租物一直备受争议。解决争议应立足于版权融资租赁的理论基础。在阐释版权融资性售后回租法律风险的基础上提出:政府应当建立信用担保机制,完善知识产权交易市场为版权融资性售后回租提供外部制度保障;立法者应将版权等无形资产纳入未来出台的《融资租赁法》中予以规范,为版权融资性售后回租提供内部法律供给。外部保障和内部供给相结合的制度设计,将推动我国知识产权融资业务在更加开放、包容、完善和全面的轨道上前进。
With the pilot operation of sale-leaseback, copyright is becoming a popular choice for sale-leaseback in the field of financing lease. However, due to the gap between legislation and practice, whether copyright can be used as a sale-leaseback is still disputed. Settlement of this dispute should go back to the theoretical basis of copyright financing lease and try to lay out its legal risks. On this basis, the government should establish the credit guaranty mechanism to ensure and improve the intellectual property transaction market;legislators should include intangible assets such as copyright in the future related law to provide legal basis. These two suggestions will promote Chinese intellectual property financing business to a more inclusive and comprehensive future.
