电力设计企业章程管理的思考及建议

Thoughts and Suggestions on Articles of Association Management of Electric Power Design Enterprise

章程管理是电力设计企业合规经营和业务发展中不可忽视的工作。章程在完善电力设计企业法人治理结构,夯实市场主体地位,建立健全权责对等、运转协调、有效制衡的决策执行监督机制等方面,具有十分重要的支撑作用。对电力设计企业而言,一方面,其自身作为老企业,虽已有章程,但在改革发展转型升级过程中,在新的市场环境下,面临着自身的章程修订;另一方面,随着电力设计企业的业态不断创新,以特定工程项目为对象,以全资、控股、参股等形式进行对外投资,新设立企业需要制订和修订章程。文章从分析电力设计企业的章程管理现状及存在的问题入手,提出电力设计企业加强章程管理的建议。

The management of articles of association is a task that can not be ignored in the compliance operation and business development of electric power design enterprises.The articles of association play a very important supporting role in perfecting the corporate governance structure of electric power design enterprises,consolidating the dominant position of the market,establishing and improving the decision-making and execution supervision mechanism of power and responsibility equivalence,operation coordination and effective checks and balances.For electric power design enterprises,on the one hand,being old enterprises,they are faced with revision of Articles of association in the process of reform,development and transformation and upgrading in the new market environment;on the other hand,with the continuous innovation of the electric power design enterprises,some new enterprises should be established for specific engineering projects by they.Investment should be made in the form of wholly,holding and equity participation.The newly established enterprises need to formulate and amend the articles of association.Starting from the analysis of the status and existing problems of articles of association management in electric power design enterprises,this paper puts forward some suggestions for articles of association management in electric power design enterprises.
