摘要
我国《物权法》对于抵押物的转让,一直是采取严格限制的态度,在物权法中的191条规定了未经抵押权人同意不得转让抵押物,此规定赋予了抵押权强大的排他效力;在《担保法》的49条也规定到,抵押人若转让已登记的抵押物,必须通知买受人与抵押权人。在此并未对抵押物的转让做出严格的限制,这就造成了法条的冲突,应当通过法解释学来平衡其中的问题。文章从《物权法》第191条切入,认为应当保证抵押人的意思自治,同时更须对其交易自由进行合理限制。
In China's Property Law,the transfer of mortgaged property has always been strictly restricted.Article 191 of the Property Law stipulates that the mortgage shall not be transferred without the consent of the mortgagee,which gives a powerful exclusive effect to mortgage;Article 49 of the Guarantee Law also stipulates that if the mortgagor transfers the registered mortgage,the mortgagor must notify the buyer and the mortgagee.There is no strict restriction on the transfer of collateral,which leads to the conflict of laws that must use legal hermeneutics to balance the problems.Based on Article 191 of the Property Law,the article holds that the mortgagor's autonomy of will should be guaranteed,and the freedom of transaction should be reasonably restricted.
