摘要
以物抵债协议是我国民事交易活动中一种常见的债务清偿方式,其非法律规定的有名合同,理论界将其归纳为三种常见的表现形式,即代物清偿、新债清偿和债之更改。在司法实务中,法院也曾借鉴理论界的观点作为案件审理思路的参考。拟以最高人民法院指导案例72号为例,探讨在民间借贷合同与商品房买卖合同混合的案件中,商品房买卖合同法律效力认定的路径。
The debt-for-value agreement is a common way of paying off debts in China’s civil trading activities. Its non-legal and well-known contracts can be summarized by the theoretical community into three common forms of expression,namely,datio in solutum,new debts repaymentand debt change. In judicial practice,the court has also borrowed the views of the theoretical circles as a reference for the trial of the case. This article takes the Supreme People’s Court Guiding Case No. 72 as an example to explore the idea of determining the legal effect of commercial housing sales contract in the case of a mixture of private lending contracts and commercial housing sales contracts.
