摘要
民办高校董事会制度是以董事会为核心的治理体系,体现了遴选的效率、制衡的精神与共同发展的价值。但举办者的控制性权力致使董事会制度存在严重缺陷,部分民办高校存在着举办者控制与权力制衡、举办者主导与利益主体参与、举办者利益与公共利益的矛盾。规范民办高校董事会制度的运行,超越董事会治理的困境,实现董事会制度的治理价值,需要政策的激励与制度的规范,既要鼓励举办者自主规范办学,又要对举办者权力进行约束与制衡。
The board system of private higher education institution, a governance system centered around the board of trustees, embodies the efficiency of selection, the essence of check and balance, and the value of common development. However, the controlling power possessed by the school founder leads to the contradictions between the founder’s control and the balance of power, between the founder’s dominance and the stakeholders’ participation, and between the founder’s interest and the public interest. In order to realize the governance value of the board system, it is imperative to implement both incentive policies and operational rules, thereby motivating the founders while restricting their power.
