摘要
职业经理人是现代企业制度中非常重要的治理形式,职业经理人在所有权、经营权分离的企业中承担法人财产保值增值责任,对法人财产实施经营管理权,运用所掌握的经营管理知识,具备综合的领导能力和丰富的管理经验,受雇于出资人的职业化中高层经营管理者。目前国家已先后出台十几个涉及职业经理人的相关制度,但其中并没有一项制度是完全只针对职业经理人而设立的,本文旨在企业实践过程中对国有企业职业经理人的选聘、考核与退出、考核与薪酬等方面进行了一些研究,希望能给同行提供一些参考意见。
The professional manager is one of the most important governance form in the modern corporation systems,it assumes the responsibility of maintaining and increasing the value of legal person’s property in enterprises which operate with the separation of ownership and management rights. The professional manager should have comprehensive leadership and rich management experience, and can operate and manage the property of legal persons with those knowledge,so as to be hired to serve as middle and senior managers by shareholders. The state has introduced more than a dozen related systems involving professional managers so far,but no one of them is exclusively or totally published for professional managers. The purpose of the article is researching on employment, assessment, withdrawal, and remuneration of professional managers when implementing in state-owned enterprises, and hoping to provide some reference for peers.
