女性主义视域下公司法之审思

The Reflections on Company Law from the Perspective of Feminism

公司法的女性主义分析揭示了公司法本体性规则、治理性规则以及裁判和实践性规则中的女性问题,倡导公司决策应考虑多元主体利益,将关爱、沟通等价值观融入信义义务规则体系,反抗公司权力对个人的压迫。在我国,公司法女性主义并非新鲜事物,从洋务运动至今,在规制理念上经历了从无到有的进步发展;在公司与企业法文本的表达技术上既有直抒胸臆,也有间接的流露。同时,女性主义与公司法的结合不仅是“历史基因”的现代延续,更是对全球范围内女性主义公司法这一趋势的能动回应。未来最有可能的出路表现在:董事性别多元主义、公司目标多元化、公司治理的软法之治、公司法交叉学科研究的兴起、商事审判的家庭主义改革等几个方面。

The feminist analysis of Company Law reveals the ontological rules,governance rules,and women s issues in refereeing and practical rules of the law.The analysis also advocates that corporate decision-making should consider the interests of multiple subjects,integrate values such as care and communication into the system of faithful obligation rules,and resist the pressure from the power of companies on individuals.In China,corporate law feminism is not new.From the Westernization Movement to the present,it has experienced progressive development in regulation concepts and has been both directly and indirectly expressed in company and enterprise legal texts.Meanwhile,the combination of feminism and corporate law is not only a modern continuation of“historical genes”,but also a dynamic response to the trend of feminist company law worldwide.The most likely methods adopted in the future are:director gender diversity,the pluralism of corporate goals,the soft law governance of company,the rise of cross-disciplinary researches on company law,and the reform of family theory in commercial trials.
