中央企业外部董事管理的现状与改革路径

摘要 外部董事制度是中央企业规范董事会建设的关键性制度安排。自2004年以来,国务院国有资产监督管理委员会先后出台了10余项规章制度,明确了外部董事的任职资格条件、职责、权利和义务,覆盖选聘、考核评价、薪酬管理等外部董事行权履职的全过程、全环节,外部董事制度体系基本形成。但中央企业外部董事制度也存在一定的问题:对外部董事管理制度的认识仍存在一些误区和偏差,还没有形成良好的董事会文化;外部董事日常管理一定程度上还存在"松"和"散"的现象;主管部门、任职企业的管理职责需要进一步界定和明确;外部董事履职所需的个性化的专业知识的培训不够;尚未形成层次分明、全面系统的责任规范体系。进一步加强外部董事队伍管理,应遵循现代企业运行规律,坚持从严选拔、从严监管,完善考核评价,强化责任追究,坚持全链条管理,增强系统性,努力打造一支专业优良、结构合理、管理规范、清正廉洁的外部董事队伍,为深入推进规范董事会建设提供保障。 The external director system is the key institutional arrangement for central enterprises to standardize the construction of the board of directors. Since 2004, State-owned Assets Supervision and Administration Commission has issued more than 10 rules and regulations,specifying the qualifications, duties, rights and obligations of external directors, covering the whole process and links of the exercise and performance of duties of external directors, including selection, assessment and evaluation, and salary management. The system of external directors has been basically formed. However, there are still some problems in the external director system of central enterprises: there are still some misunderstandings and deviations in the understanding of the external director management system, and a good board culture has not yet been formed;to some extent, the daily management of external directors is still "loose" and "scattered". The management responsibilities of the competent department and the enterprise in charge need to be further defined and clarified. The training of personalized professional knowledge required by external directors to perform their duties is insufficient;a clear, comprehensive and systematic system of responsibility standards has not yet been formed. To further strengthen the management of external directors, we should follow the operation rules of modern enterprises, adhere to strict selection and supervision, improve assessment and evaluation, strengthen accountability, adhere to the whole chain management, enhance systematicity, and strive to build an external directors team with excellent specialty, reasonable structure, standardized management, honesty and integrity, so as to provide guarantee for further promoting the standardization of the board of directors.
