摘要
2017年,国际咨询工程师联合会(FIDIC)发布了第二版设计-采购-施工与交钥匙工程合同条件。与1999版相比,2017版合同条件通用条件的结构略有调整,内容上更加强调合同双方的对等关系,将双方责任与风险进行重新划分,力求实现双方风险共担;融入更多项目管理思维,更加注重质量管理、进度管理以及沟通交流,力求维护更加公平有序的工程环境。同时针对1999版设计-采购-施工与交钥匙工程合同条件应用过程中出现较多的争议问题有了更为规范和详细的规定。本文从项目管理机制、风险分担机制和索赔及争端解决机制三个方面,对新版EPCTurnkey合同条款通用条件的主要变化进行具体的阐述。
In 2017,International Federation of Consulting Engineers(FIDIC) released the second edition of Conditions of Contract for EPC/Turnkey Projects.Compared with the first edition of the book,the structure of the second edition has been slightly adjusted,and the length has been significantly increased.Moreover,the book places more emphasis on the equivalence between the two parties in the contract,reclassifies the responsibilities and risks of both parties,and strives to define the risk sharing between both parties.Meanwhile,it incorporates more project management thinking,and pays more attention to quality management,schedule management,and communication,which is striving to maintain a fairer and more orderly engineering environment.The first edition of the book has been the subject of many disputes in the application process;hence,the second edition offers a more standardized and detailed provision of a claim and dispute settlement mechanism.This paper analyzes the reasons for the revision of the book,and briefly explains the changes in length,structure,and content.Further,it specifically analyzes the changes in terms of the General Conditions of the book from three aspects:the project management mechanism,risk sharing mechanism,and claim and dispute settlement mechanism.
