纵向垄断协议兜底条款的适用困境及其出路

当经营者实施的是维持转售价格以外的行为时,仅仅依据《反垄断法》第十四条第三项的规定,我们通常难以对之进行作出精确的定性。若要精确适用纵向垄断协议的兜底条款,就必须另外结合垄断协议的定义条款,而这必将产生诸多的逻辑分裂问题。即便采取实用主义的态度忽视潜在的逻辑分裂问题,结合垄断协议的定义条款来适用纵向垄断协议的兜底条款依旧面临更为棘手的法律问题。而且就国内外的实践情况来看,目前可以借鉴的成熟经验非常有限,我们很难进行精确的范围缩减与目标定位。因此,在《反垄断法》必须存有类似兜底条款的情况下,反垄断执法对此应当最大限度的秉持谦抑性。即使是确实需要依法进行规制适用,也应当在通过发布指南对此作出非常明确的指引前提下才适宜进行个案查办。

When the operator implements an act other than the maintenance of resale price,it is usually difficult for us to make a precise characterization of it,based solely on the provisions of 3rd Clause,Article 14th,of the Anti-Monopoly Law.In order to apply the miscellaneous provision of vertical monopoly agreement precisely,it is necessary to combine the definition clause of Monopoly agreement,in addition,which will certainly produce a lot of logical splitting problems.Even with a pragmatic approach to ignoring potential logical divisions,the miscellaneous provision,which combines the definition provisions of monopolistic agreements to apply vertical monopoly agreements,faces more intractable legal issues.And as far as the practice situation at home and abroad is concerned,the mature experience that can be used for reference here can be said to be very limited,it is difficult for us to carry out precise scope reduction and target positioning.Therefore,in the case of Anti-Monopoly Law must have such miscellaneous provisions,antitrust enforcement should be modest and restrained to the full extent of the law.Even if there is a real need for regulatory application in accordance with the law,it should be appropriate to conduct enforcement on the premise that very clear guidelines have been given to.
