摘要 企业并购可对并购前后企业的财务、经营、管理方面均产生协同效应,已成为企业寻求发展,解决危机的又一重要方式。平衡计分卡作为一个通过财务、客户、内部流程、学习与成长四维指标的评价体系,使得企业在进行绩效考核时不仅可以对过去的经济活动进行评价,并且能够对未来的发展趋势做出预测,通过将各个指标建立内在联系,形成一个内外部结合、长短期结合、财务与非财务结合的综合绩效指标评价系统。可全方位、多角度对企业并购效果进行准确评估,为评价企业并购绩效提供一种全新的视角。企业应结合自身实际情况,将平衡计分卡并购绩效评价指标体系运用到具体员工和具体部门上,在理论指导下更好的经营与发展。 Mergers and acquisitions(M&A)can produce synergistic effects in financial affairs, operation and management of enterprises before and after M&A, which has become another important way for enterprises to seek development and solve crisis.Balanced scorecard as an evaluation system through four-dimensional indicators of financing, customers, internal processes, learning and growth, enables enterprises not only to evaluate past economic activities, but also to predict future development trends. Through the establishment of internal linkages among various indicators, it is to form a comprehensive performance evaluation system which combines internal and external, long-term and short-term, financial and non-financial performance indicators. It can accurately evaluate the effect of M&A from all-round and multi-angle, and provide a new perspective for evaluating the performance of M&A.Enterprises should apply balanced scorecard M&A performance evaluation index system to specific employees and departments in accordance with their own actual conditions, and operate and develop better under the guidance.
