PPP项目公司资金管理方式探讨——基于法定盈余公积金分析

Discussion on Fund Management Mode of PPP Project Companies:Base on Statutory Surplus Reserve Fund Analysis

分析法定盈余公积金的提取目的、对债权人的影响和股东权益的作用,认为法定盈余公积金的提取对PPP项目公司运营方面作用甚微,对债权人和股东利益保护作用不大,并且侵害了公司经营自主权,降低私营资本参与项目公司的积极性。因此主张依据自身情况提取任意盈余公积金,避免资金闲置,降低资金沉没成本,提高资金使用效率,调动社会资本参与PPP基础设施项目的积极性。

Through the analysis of the extraction of the statutory surplus reserve purpose,the role of influence to the creditors and shareholders’ equity,think the extraction of the statutory surplus reserve of the PPP project company operations to little effect,the creditors and shareholders interests protection is not big,and jeopardizes the autonomy in operation of the company,reduce the enthusiasm of private capital to participate in the project company. Therefore,this paper proposes to extract any surplus reserve fund according to its own situation,avoid idle funds,reduce sunk costs of funds,improve the efficiency of capital use,and mobilize the enthusiasm of social capital to participate in PPP infrastructure projects.
