摘要
企业管理制度是企业及其出资人、管理人员和其他员工的行为规范,与法律有许多相同特征,也有一些差别。为了增强企业管理制度的可执行性,树立企业管理制度的权威,有必要借鉴我国社会主义法的法理,构建企业管理制度制定和实施的基本原理,为企业制定和实施管理制度提供参考。为此,提出了关于企业管理制度构成要素、内容、体系、效力、实施和冲突解决等方面的一些建议。
Enterprise management system is the code of conduct for the enterprise and its investors, managers and employees. It has shares many characteristics with laws, yet there are also some differences. In order to enhance the enforceability of enterprise management system and establish its authority, it is necessary to refer to the socialist jurisprudence of China, to set rationale and provide reference for the formulation and implementation of enterprise management system. For this purpose, the author makes some suggestions on the elements of composition, content, structure, effectiveness, implementation and conflict resolution of enterprise management system.
