摘要
关联公司人格混同并没有明确的法律依据,法院多类比适用《公司法》第20条的规定。实践中存在关联公司人格混同司法认定困难,证明责任分配混乱,法律依据援引做法不统一等问题。实践中法官在认定关联公司的人格混同时,虽然都会从财务、业务、人员混同三个方面进行综合考虑,但适用结果却存在很大的不确定性。为了解决司法适用结果不确定问题,应该在实践中确立关联公司人格混同司法认定的基本准则、明晰关联公司承担连带责任的结果要件,并在《公司法》修改时增加关联公司以及关联公司人格混同责任承担的相关规定。
There is no clear legal basis for personality confusion of affiliated companies. The court applies the provisions of article 20 of the company law by analogy. There are some problems in practice,such as difficulty in judicial identification of personality confusion of affiliated companies,confusion in distribution of burden of proof,and inconsistency in citing legal basis. In practice,when a judge determines the mixed personality of an affiliated company,he will consider comprehensively from the three aspects of finance,business and personnel,but there is great uncertainty in the applicable results. In order to solve the problem of judicial application result uncertainty,should establish affiliates in practice the basic principles of transverse personality with justice,clear associated company are jointly and severally liable,and in the company law revision associated companies and affiliates increase when lateral personality with liability rules.
