我国民办高校的法人治理结构及优化路径

The Corporate Governance Structure and Optimization Path of Private Universities in China

完善与优化我国民办高校法人治理结构,对缓解我国高校的招生压力、补充高等教育资源和培养国家高素质人才起到举足轻重的作用。我国民办高校运行过程中还存在法人治理结构尚未完全理顺、相关的规章制度不健全、董事会成员构成不规范等问题。如何优化我国高校法人治理结构,可以从以下四个方面着手:首先,加强国家立法,完善产权制度;其次,修订学校章程,建立规范秩序;再次,理顺权力关系,健全董事制度;最后,完善民办高校的执行机制,建立健全校长负责制。

Perfecting and optimizing the corporate governance structure of private colleges plays a very important role in alleviating the pressure of enrollment, supplementing higher education resources and cultivating high-quality talents. However, there are still some problems in the operation of private colleges and universities. For instance, the corporate governance structure has not been completely straightened out, the relevant rules and regulations are not perfect, and the board members are not standardized. Therefore, within the category of how to optimize the corporate governance structure of China’s colleges and universities, we can start from the following four aspects: firstly, to strengthen national legislation and improve the property rights system;secondly, to revise the school charter and establish a normative order;thirdly, to straighten out the power relation and improve the director system;and finally, to improve the implementation mechanism of private colleges and universities, establish the president responsibility system and make it more sound.
