非营利性民办高校董事会制度的探索完善

Exploration and Improvement of the Board of Directors System of Non-profit Private Colleges and Universities

通过对我国非营利民办高校董事会现存治理问题的调研,结合民办学校分类管理的相关政策要求,参考非营利组织和公司治理中董事会的设置模式,提出完善非营利民办高校董事会职权、优化董事会构成的具体建议。

Through the investigation of the existing governance problems of the board of directors of non-profit private colleges and universities in China,combining the relevant policy requirements of the classified management of private schools,reference is made to the establishment model of the board of directors in non-profit organizations and corporate governance.The paper puts forward the concrete suggestions to improve the authority of the board of directors of non-profit private colleges and to optimize the composition of the board of directors.
