摘要
国有企业治理问题严重影响着我国国有企业治理的效率,阻碍着国有企业的改革进程。从探讨混合所有制企业存在的问题入手,分析民营企业参股的混合所有制企业存在的问题主要有:股权结构不合理、内部人控制、所有者与经营者的利益冲突、缺失完善的激励约束制度等,归纳总结了混合所有制企业的治理路径,提出优化股权结构、激励约束经理人、发展员工持股的建议。
The agency problem of state-owned enterprises seriously affects the efficiency of governance of state-owned enterprises,and obstructing the reform process of state-owned enterprises in China. Therefore,we need to further deepen the reform of state-owned property rights system,increase the participation of mixed ownership private capital,and realize the cross-shareholding and integration of state-owned capital and non-state-owned capital such as private capital. This way of combination of state-owned capital with capital advantage and private capital with flexible market mechanism can bring great benefits to corporate governance. Therefore,this paper explores issue in order to enhance the effectiveness of corporate governance.
