公司经营范围登记制度的实践困境及改革方案初探

A Preliminary Study on the Practical Dilemma and Reform Scheme of the Registration System of the Scope of Business of the Company

我国公司经营范围登记制度,在计划经济时代曾起到积极作用,但其立法原意已不适用于今天的资本市场,无法满足我国公司企业抓住商业机遇的需要,在实行过程中遇到了许多实践困境。据此,全国各地开始探索公司经营范围制度改革方案。论文通过分析公司在目前实践中遇到的困难,思考目前公司经营范围登记制度的不足,试图提出对公司经营制度改革有所帮助的建议。

The registration system of business scope of China's enterprises played a positive role in the era of planned economy,but its original legislative intention is no longer applicable to today's capital market,and can not meet the needs of China's companies to seize business opportunities,and has encountered many practical difficulties in the process of implementation.On this basis,all parts of the country began to explore the scope of business system reform program.Based on the analysis of the difficulties encountered by the company in the current practice,this paper thinks about the shortcomings of the current business scope registration system,and tries to put forward some suggestions which are helpful to the reform of the company management system.
