摘要
EPC+PPP模式,指在建设运营项目中,政府在依法选择PPP模式下的社会投资人同时,确定项目的建设工程承包方,以避免“二次招标”的操作方式。然而,无论是PPP还是EPC,其本身就存在着合同风险分配上的问题。PPP模式重视将风险分配给最有利的一方,但长达几十年的运营期使其风险分配本身就可能存在问题;EPC模式强调业主方的免责,将工程的主要风险都转移给总承包方;本文分别从PPP和EPC两块内容对风险分配原则进行文献综述,以其提供些许思考。
EPC+PPP mode refers to the social investors who choose the PPP mode according to law in the construction and operation projects, and at the same time determine the construction project contractor of the project to avoid the operation mode of "second bidding". However, whether it is PPP or EPC, there is a problem in the distribution of contract risks. The PPP model emphasizes the allocation of risk to the most favorable party, but the decades-long operation period may cause problems in its risk allocation itself;the EPC model emphasizes the exemption of the owner and transfers the main risks of the project to the general contractor. This paper reviews the risk allocation principles from the two parts of PPP and EPC respectively, and provides some suggestion.
