摘要
从治理结构和组织结构视角系统性地将高管权力划分为CEO治理权力、CEO支配度、高管团队治理权力和高管团队权力均等性四种类型。总结和回顾每种类型权力影响企业战略决策和绩效的主要理论及实证研究,并从董事会、股东及外部治理三个方面梳理了治理机制对高管权力作用的影响。在此基础上提出了未来的研究方向:构建符合各权力类型内涵的测量指标体系、开展对双元性战略决策影响的研究、探究不同类型权力交互作用下的战略决策效果、拓展公司治理机制对高管权力作用的影响分析。
From the perspective of governance structure and organizational structure, this paper systematically divided executive power into four types: CEO governance power, CEO dominance, TMT governance power and TMT power equality. The paper summarized and reviewed the main theory and empirical researches on the influence of each power on the strategic decisions and firm performance. The paper also analyzed the influence of corporate governance mechanism on the effect of executive power from three aspects: the board of directors, the shareholders and the external governance. On this basis, the future research directions were put forward: building the measurement indexes for each power according to their definition, studying the impact of executive power on ambidextrous strategic decisions, exploring the effect of the interaction of different types of power, and expanding the influence of corporate governance mechanism on the role of executive power.
