摘要
在我国资本市场上,控股股东股权质押相当频繁,股权质押是一把“双刃剑”既能快速提供资金,同时也增加了控股股东对公司利益输送的机会。本文以D公司为例,通过分析质押前后现金流权控制权变化、公司价值、财务状况等得出对公司价值影响的情况,进而为D公司的中小股东起到预警作用,并针对股权质押的负面影响提出防范建议。
In China’s capital market, the controlling shareholder’s equity pledge is quite frequent. The equity pledge is a "double-edged sword" that can provide funds quickly and increase the opportunities for controlling shareholders to transfer the company’s interests.Taking D company as an example, this paper analyzes the impact on the company’s value by analyzing the change of cash flow rights control rights before and after pledge, company value and financial status, and then plays an early warning role for the small and medium shareholders of D company, and proposes prevention suggestions according to the negative impacts of equity pledge.
