本文通过对我国《公司法》与其他国家相关法律进行比较分析,考察我国实际情况,从出资的认 定、股东的填补责任以及未出资到位股权的转让等方面探讨了有限责任公司设立中的出资问题。

By comparing and analyzing the Chinese Company Law and other country s relevant laws,making studies on the reality of the developing Chinese society, this thesis explores the problem of property investing which should be considered in the process of establishing a limited company, including identification of the property investing,the shareholedr's responsibility of complementing,and the exchange of shareholder right wihich isn't plenary contributed.
