The paper makes an optimization study of capital structure from the view of corporate governance. Stating the relationship between modern enterprise system and corporate governance, analyzing the necessity of introducing the idea of optimizing capital structure to improve corporate governance, elaborating the role and operation mechanism of equity capital and debt capital in corporate governance, establishing the model of corporate governance and capital structure.
