随着《民法总则》的颁布实施,人民法院在审理民商事案件时有一些新的问题需要厘清,本文将对以下问题加以阐述和思考:一是关于民商事审判必须把握好的重要理念性问题;二是关于《民法总则》适用的法律衔接问题;三是关于合同效力的司法判断问题;四是关于公司对外担保问题;五是关于公司清算责任问题;六是关于金钱之债的裁判思路问题;七是关于股权让与担保问题;八是关于案外人救济制度问题;九是关于刑民交叉问题。

With the promulgation and implementation of the General Provisions of Civil Law,people's courts have to clarify some new issues in the trial of civil and commercial cases,this article will discuss following issues:first,the major fundamental issues that must be adhered to in the civil and commercial trial;second,the important ideological issues that must be grasped in the civil and commercial trial;third,the legal connection issues for the application of the General Provisions of Civil Law;fourth,the issues of judicial judgment of contract effectiveness;fifth,the issues of company's external guarantee;sixth,the issues of company liquidation liability;seventh,the issues of judgmental thoughts on money debt;eighth,the issues of equity transfer guarantee;ninth,the issues of relief system for outsiders;tenth,the issues of criminal-civil overlapping cases.
