《外商投资法》背景下华侨华人回国投资的法治保障

Research on How to Legally Protect Overseas Chinese People in Investing in China under the Background of Foreign Investment Law

《中华人民共和国外商投资法》将于2020年1月1日正式实施,这为我国打造国际一流营商环境奠定 了坚实的制度基础,同时也标志着我国外商投资将迎来制度性开放的新时代。在此背景下,良好的法治营商环境 将为华侨华人回国投资带来更多优惠便利,使他们可在更加公平公正的制度环境下平等参与国内市场竞争。但 与此同时,也要看到新时期华侨华人回国投资中的一些法律问题依然存在,导致其回国投资法律适用主体资格不 确定和投资待遇相对降低。追溯新中国成立70年来华侨华人回国投资法律制度发展的历史沿革,考虑到华侨华 人法律主体资格的特殊性,未来需要进一步完善《外商投资法》关于华侨华人回国投资的相关法律规定,并以此为 基础逐步建立起体系完善的华侨华人回国投资特殊监管法律制度,明确“华侨华人投资者”和“华侨华人投资”基 本法律概念,补充根据投资资金来源确定是否属于外商投资的规定,平衡华侨华人与投资协议缔约国国民和港澳 台同胞之间的投资待遇差异性,从而为新形势下华侨华人回国投资提供有力的法治保障和优质的法律服务,以吸 引更多的华侨华人回国投资创业。

Foreign Investment Law of the People’s Republic of China will be implemented on Jan 1st,2020,which will lay the solid institutional foundation for China to build the first class business environment,and signals the new era of institutional openness in terms of foreign investment. Under this background,the sound legal business environment will bring overseas Chinese with more convenience and make them equally take part in domestic market competition. At the same time,we should understand that there are still some problems with that,which will lead to the uncertainty of main player’s qualification of the applicable law and the lower investment treatment. From the 70 years of investment law development,and considering the special qualification of legal main player of overseas Chinese,in the future,we should further improve the related legal provisions, gradually perfect the special supervision related law and regulations,clarify the basic legal concept of overseas Chinese investors and overseas Chinese investment,add some regulations concerning how to determine whether it is foreign investment according to the source of investment capital,balance related treatment differences,and provide stronger legal guarantee and high quality legal service for overseas Chinese in investing in China to absorb more overseas Chinese to invest in China.
