逆向跨国并购驱动产业快速升级的路径研究

逆向跨国并购是后发国家企业通过并购这一经营性活动获取发达国家战略性资源的行为,以逆向跨国并购实现产业快速升级被证实为一种有效便捷的模式。实现逆向跨国并购驱动产业快速升级在具备国际环境的同时,宏观政府支持和微观企业谋划同等重要。逆向跨国并购虽然在实施单位上是企业的选择,但是还应该放在国家战略上给予重视,应以宏观政策为支撑、公司发展为规划、产业创新为目的、法律和市场为保障以及引入负面清单实现逆向跨国并购的快速升级。

Promoting industrial upgrading by reverse cross-border mergers and acquisitions has been regarded as an important model.Realizing of reverse cross-border mergers and acquisitions driving the industrial upgrading quickly,Not only needs international conditions,But also needs macro and micro dimensions.This paper supports that the international conditions allow reverse cross-border merger from China;In the meantime,government supports and enterprise plannings are equally important.Reverse cross-border merger and acquisition is the choice of enterprises,but it should be paid more attention to in national strategy,in details that supported by macro policies,planned by company development,aimed at industrial innovation,guaranteed by law and market,and implemented by introducing negative list to realize industrial upgrading quickly by reverse cross-border merger and acquisition.
