基于“前置程序”的国企党组织内嵌法人治理结构的理论与实践

Theory and Practice of State-owned Enterprise Party Organization Embedded in Corporate Governance Structure Based on Preceding Procedures

中国特色现代国有企业制度,"特"就特在把党的领导融入公司治理各环节,把企业党组织内嵌到公司治理结构之中。"前置程序"的决策机制成为党组织内嵌到公司法人治理结构,实现党对国有企业领导和公司法人治理结构有机融合的重要制度安排,并在绝大多数国有企业得到落实。基于理论和实践,文章讨论了"前置程序"的形成及其价值,实践推进及其困惑,提出了"前置程序"规范化制度化的建议。

In the modern state-owned enterprise system with Chinese characteristics,"special" is especially to integrate the party’s leadership into all aspects of corporate governance,and to embed the party organization in the corporate governance structure.The decision-making mechanism of the pre-procedure has become an important institutional arrangement in which the party organization is embedded in the corporate governance structure of the company,and achieving the organic integration of the party’s leadership of state-owned enterprises and the Corporate Governance Structure.In the paper,formation and value of pre-procedure,practical promotion and some problems are analyzed.Some suggestions on the standardization of the pre-procedure are proposed.
