农地信托中的管理权保留问题论析

Analysis on the Reservation of the Management Rights in Farmland Trust

在农地信托中,信托人如若与“受托人委托的管理人”或“受托人委托的管理人的实际控制人”是同一人,将会导致信托财产管理权不会发生实质性转移。借鉴英美虚假信托理论及其实践的有益经验,在未来的农地信托中,信托人与“受托人委托的管理人”不可以是同一人,如若信托人与“受托人委托的管理人的实际控制人”是同一人,受托人则要证明享有并行使了自由裁量管理权和对管理人的监督权。

In farmland trust,if the trustee is the manager entrusted by the trustee or the actual controller thereof,the management rights of the trust property will not be substantially transferred.With reference to the sham trust theory developed in the UK and US and its practice in China,the trustee shall not be the actual controller of the manager entrusted by the trustee in the future.Otherwise,the trustee is obligated to prove to have and exert the management rights at his discretion and the right of supervising the manager.
