摘要
当前,由于国家政策调控导致合同无法履行,受有不利的一方请求解除合同,而另一方不同意解除。在没有约定解除和协商解除的前提下,大多数法院为平衡当事人利益,仍然判决支持解除合同,但在引用法律依据方面确有差别,且说理未能清晰明确,而理论界和实务界对此定性也难以统一,究竟是商业风险不得解除,还是情势变更或者不可抗力免责解除等等,需要进行追问和思考。
At present,due to policy regulation,the contract cannot be fulfilled,and the unfavorable party requests the termination of the contract,while the other party does not agree to the cancellation.Under the premise of no agreement and dismissal,most courts still decide to support the termination of the contract in order to balance the interests of the parties,but there are differences in the citing legal basis,and the reason is not clear,but the theoretical and practical circles Qualitative is also difficult to unify.It needs to ask and think that commercial risks cannot be lifted,or is the situation changed or force majeure dismissed.
