农村社区股份合作组织本质属性:现实迷失与理论评析

农村社区股份合作组织作为一个以集体资产为纽带、以农村社区为区隔基础的集体经济组织,承载着历史赋予的社会主义政治理想和经济理想。在民法典编纂之际,我们不应简单地基于外部交易的功利主义,赋予农村社区股份合作组织以法人"商人证",而应秉承外部交易功利与内部互助秩序绵延交融的立法理念,厘清农村社区股份合作组织的法人属性。根据国家对农村社区股份合作组织的角色定位和农村社区股份合作组织的实践特征,其法人属性定位不应以个人主义和经济理性为基点,而应以集体主义和社会理性为基点,理应界定为中间法人。

As a collective economic organization linked by collective assets but segmented by rural communities, the rural community joint-stock cooperative organization holds up the socialist political and economic ideals entrusted by history. At the time of the compilation of the civil code, we should not give the rural community joint-stock cooperative organizations a corporation of "merchant certificate", simply based on the utilitarianism of external transactions, but should clarify the legal person attributes of it in accordance with the legislative concept of the continuous integration between external transaction utilitarianism and internal mutual assistance order. In line with the role orientation by the state and practical characteristics of the rural community joint-stock cooperative organizations, its corporation attribute orientation should not be based on individualism and economic rationality, but on collectivism and social rationality, and should thus be defined as intermediate corporation.
