高校签订技术合同规避欺诈风险研究——以“锐丰诉北航案”为例

Study on the Risk of Avoiding Fraud in Technology Contracts--Taking"Ruifeng v.Beihang Case"as an example

高校在我国高新技术产业的形成和发展中起着核心作用,与社会经济的发展联系越来越紧密,高校技术合同的数量、交易额也在不断上升。我国高校体制的特殊性决定了科研人员参与科技成果从开发、转化到产业化的全过程,虽然能够降低转化风险,却会造成科技成果转化的低效率,同时也增加了技术合同纠纷的风险。论文对科技成果转化中的技术合同涉嫌欺诈情形进行解读,通过案例从不同角度分析了我国科技成果转化中存在的问题,并从高校角度提出规避技术合同欺诈风险的可行性建议。

Colleges and universities play a central role in the formation and development of China's high-tech industries,and are increasingly connected with the development of social economy.The number and transaction volume of college technology contracts are also on the rise.The particularity of China's university system determines the participation of scientific researchers in the whole process of development,transformation and industrialization of scientific and technological achievements.Although it can reduce the risk of transformation,it will result in the inefficiency of the transformation of scientific and technological achievements,and also increase the risk of technical contract disputes.The paper interprets the alleged fraud in the technical contract transformation of scientific and technological achievements,analyzes the problems existing in the transformation of China's scientific and technological achievements from different angles,and proposes feasible suggestions for avoiding the risk of technology contract fraud from the two main bodies of universities and enterprises.
