破产重整中债务人自行管理制度的适用研究

Study on the Application of the Debtor’s Self-management System in Bankruptcy Reorganization

授权债务人在破产重整期间直接管理困境公司事务的债务人自行管理制度,具有管理人管理模式所不具有的优势,但由于配套制度不完善,实践中的适用率不高,未能真正发挥其效用。"新义务说"明确了自行管理债务人与破产前债务人属于同一主体的法律地位。同时,明确债务人自行管理的启动程序、批准要件,通过明晰归责原则、合理分配管理人与债务人的职权、完善退出机制等措施,建立起完善的风险防范体系,可提高其适用率,增强市场活力。

The debtor’s self-management system,which authorizes the debtor to directly manage the affairs of the troubled company during the bankruptcy reorganization,has the advantages that the manager’s management mode does not have. However,due to the imperfection of the supporting system and the low application rate in practice,it fails to really play its role. The " New obligation theory" clarifies the self-managed debtor and the pre-bankruptcy debtor belong to the same subject of the legal status. Meanwhile,making clear the starting procedures and approval requirements of the debtor’s self-management,establishing a perfect risk prevention system by clarifying the principle of liability fixation,reasonably distributing the powers of the administrator and the debtor,and improving the exit mechanism,can improve its application rate and enhance the vitality of the market.
